These Terms and Conditions are herein a legally binding agreement between you (the "Customer" "Client" "Customers" "User" or "You") and BillsnPay - CWG Plc ( "BillsnPay", "the Company", "Platform", "Company", "We", "Our", or "Us"). These Terms and Conditions shall guide your registration, access and use of BillsnPay services. If you do not agree to any part of this Agreement, then you may not use the Services.
BillsnPay is a payment platform that helps businesses maximize cost and save time as customers have easy access to view, download and pay their bills seamlessly. All transactions performed are final and cannot be recalled except in the case of a proven fraud.
When we refer to our "Services," we mean all products and services owned, operated and sold by BillsnPay. These Services include but are not limited to BillsnPay websites, mobile applications and all other products and services (collectively referred to as "Services") available on BillsnPay. BillsnPay provides a payment platform which allows its users to pay bills easily. With BillsnPay, users can also transfer from their wallet to other wallet users within BillsnPay and receive funds instantly too into their wallet.

The Platform uses a two-factor authentication software for fraud, risk, and compliance monitoring, known as Safetoken. 13.1. We hereby reserve the right to suspend, restrict, or terminate your access to the Platform (in whole or in part) without any notice or liability in the following circumstances:

BillsnPay and/or its licensors own all intellectual property rights and materials on the platform including but not limited to all texts, formats, graphics, animations, tools, commercials, music, video, articles, sound, trade names, logos and all other materials which inherently are subject to intellectual property.
Nothing on the platform or in these Terms and Conditions shall be construed whether express or implied as granting or licensing the use of any intellectual property or trademark on the Platform. As such you do not have the right, license, title or interest to exercise any rights with regards to any intellectual property on the Platform. These intellectual properties may not be copied, reverse engineered, decompiled, disassembled, modified or reposted to other websites or other platforms.

15.2. In the event that a User has a dispute about goods and services purchased, we have no liability for such goods or services as our involvement with such transactions are only as payment agents and nothing more.
16.1. You are responsible for all transactions conducted using your computer (personal or otherwise), mobile phone, tablet or other electronic device ("Device"), payment card or account. It is your responsibility to keep all of these Devices secure.
16.2. All passwords must be kept secret. You are liable for all activities undertaken using your username, associated password or Device. You are responsible for maintaining the confidentiality of all Account information and keeping your Device from unauthorized use.
16.3. We accept no liability for any unauthorized use of your Device, payment card or account or any effects of the same.
16.4. In the event your Device has been stolen or there is unauthorized access to your payment card or account, it is your responsibility to immediately notify your bank to restrict transactions on your card and account.

16.6. If you dispute any purchase or withdrawal on your card or account, you will be required to prove that the transaction was effected without your authorization and such transaction will be investigated by our Fraud Team once we receive a logged ticket on +234 (0) 814 138 1197, +234 (0) 814 138 1198 and via email email@example.com
17.1. BillsnPay shall not under any circumstance be held liable for any direct, indirect, special, consequential, punitive or exemplary damage whether such damages are based on a breach of warranty, tort, contract, statute or any legal theory including but not limited to loss of profits, revenue and goodwill that may result from:
17.2. Under no circumstance shall it be construed or implied that BillsnPay endorses, sponsors, advertises, certifies or otherwise guarantees the sale or use of any merchants products and services listed on the Platform.
17.3. WE SHALL USE OUR BEST ENDEAVOURS TO ENSURE THE PLATFORM FUNCTIONS OPTIMALLY AT ALL TIMES AND OUR SYSTEMS ARE FREE FROM VIRUSES, HOWEVER WE CANNOT ENSURE SUCH EXCLUSION AND NO LIABILITY IS ACCEPTED FOR SAME. HENCE IT IS RECOMMENDED YOU PUT IN PLACE YOUR OWN SECURITY MEASURES. WE DO NOT WARRANT THAT THE OPERATION OF THE PLATFORM WILL BE UNINTERRUPTED OR ERROR FREE, NOR WILL IT BE 100% FRAUD OR FAIL PROOF.WE ARE PROVIDING THE SERVICE "AS IS'' WITHOUT ANY EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SERVICES OR ITS CONDITION, TIMELINESS, MERCHANTABILITY, FITNESS FOR ANY PARTICULAR PURPOSE OR USE BY YOU. WE DO NOT ACCEPT RESPONSIBILITY FOR THE DELETION OR FAILURE TO STORE ANY USER COMMUNICATION, ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE IN THIS REGARD.
The use of the Platform is at your own risk and the Limitation liability clause will apply to the maximum extent permitted by the applicable law.

These Terms and Conditions are made under and will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any term which attempts to give effect to any principle of another jurisdiction shall not be affected.
We shall make an effort to settle all disputes amicably. However, any dispute arising out of this Agreement that cannot be settled by mutual agreement/negotiation within 1 (one) month shall be referred to arbitration by a single arbitrator at the Lagos Multi-Door Courthouse ("LMDC") and governed by the Arbitration and Conciliation Act, Cap A10, Laws of the Federal Republic of Nigeria. The arbitrator shall be appointed by both of us (we and you), where both of us cannot agree on the choice of an arbitrator, the choice of arbitration shall be referred to the LMDC. The findings of the arbitrator and subsequent award shall be binding on both of us. Each of us shall bear our respective costs in connection with the Arbitration. The venue for the arbitration shall be Lagos, Nigeria.
BillsnPay reserves the right to make change, revise, modify and amend these Terms and Conditions at any time within their discretion without providing notice as long as it is subject to the applicable law. However, subject to the applicable law, BillsnPay is to deliver its users any notice of changes to existing terms and conditions or addition to it. A notice of such amendment shall be published on the BillsnPay Platform.
Users have the right to decide whether or not they will accept the modified or revised Terms and Conditions. Continued use of the BillsnPay Platform after the revised Terms and Conditions is considered an acceptance of the conditions. Where a user disagrees with any part of the modified or revised Terms and Conditions, he/she is kindly advised not to access the Platform.
If any part of the Terms and Conditions herein listed is held by any court of competent jurisdiction to be invalid or unenforceable, either in whole or in part, then that part shall be severed from the Terms and Conditions and shall not affect the validity or enforceability of any part of the Terms and Conditions.
